Your tasks

• You deliver expert legal advice on corporate law, governance, finance, and capital market issues.
• Organizing, attending, and documenting shareholder and board meetings within OMV Group, including the annual general meeting of OMV Aktiengesellschaft, are regular activities in this position.
• Through ensuring compliance with corporate governance, evaluating performance, and monitoring developments, and assessing their impact on OMV Group are central to your role.
• You oversee OMV Group’s Austrian and international subsidiaries, manage internal transactions, and handle the establishment and dissolution of entities and branch offices.
• Handling the legal aspects of corporate finance and capital market projects for OMV Group, such as facilities, bond issues, and capital increases.
• Drafting and revising agreements, parent company guarantees, internal regulations, by-laws, PoAs, and other internal legal documents are among your key responsibilities.
• Managing legal disputes related to corporate law and finance matters, including formulating case strategies and negotiating settlements, is a crucial part of your role.
• Supporting OMV Group’s centralized legal department in all legal matters and assist other departments under the guidance of the General Counsel and/or the Head of Departmernt Legal Corporate Law. 

Your profile

• Master's degree in Law, preferably from an Austrian university, with the (Austrian) bar exam and university studies abroad as an added benefit.
• At least 9 years of relevant professional experience, specifically in Austrian Corporate & Company Law.
• You have worked as an in-house lawyer or attorney at law, specifically in Corporate Finance, Capital Markets and Commercial Law.
• Through your strong analytical abilities, negotiation and presentation skills and team player-attitude, you are able to establish and maintain effective cross-organisational relationships.
• Fluency in English and German.
• Part-time working model also possible.
