Your tasks

  • Manage and lead M&A projects throughout the whole process from preparation until Closing and Post-Closing by managing and defining deliverables for project team members.
  • Advise internal stakeholders and lead Tax Structuring (Asset Deal vs. Share Deal), Financing structure, impact of deconsolidation and dividend potential
  • Selecting Big4 advisors and Investment Banks for M&A transactions together with the Head of Department and negotiate advisory fees.
  • Supporting the Head of Department in negotiation of all commercial matters and clauses of Share Purchase Agreements.
  • Provide input for sell side transaction documents such as Teaser, Information Memorandum, Process Letters, Management Presentations and all other M&A related documents
  • Perform complex business valuations, business plan reviews, challenges Assets Economics and develop the project specific calculation of Value Bridges “Asset to Corporate Value”.
  • Prepare and present Finance / Tax impacts of deals on OMV’s financial KPIs to Steering Committees and/or in Tollgate meetings 
  • Deliver all related inputs for internal approval documents for the Executive Board and Supervisory Board and coordinates with relevant OMV functions
     

Your profile

  • Master's degree in  Business, Finance or similiar area
  • At least 9 years of relevant professional experience. 
  • Extensive knowledge about M&A and project evaluation. 
  • Very good communication skills and eager to learn new things.
  • High stress tolerance and conflict management ability
  • Excellent English.
